Imagine the following scenario: a marketing company is interested in hiring an independent contractor to assist the company with technological information. During the course of this independent contracting work, the company looked towards the same tech guy so that he would create and develop custom software. The company and tech guy signed a technician service agreement where the term of the agreement was for 1 year, which included the development of custom application software. This agreement did not contain any license agreement provisions. The same tech guy received One Million US Dollars, from the company, and in other words Two Hundred Fifty Thousand Dollars, over the course of 4 years. At the end of the four year period the company decided that it no longer needed the services of the tech guy, but they were willing to extend an employment offer, which was declined.
